Terms of Service

1. Agreement to these Terms
These Terms of Service govern your access to and use of the Vimina website at vimina.ai, our dashboard and tools, and the AI-visibility services we provide. By accessing the website, requesting a scan, or signing an order form or service agreement with us, you agree to these Terms.
If you are entering into these Terms on behalf of a business, you represent that you are authorized to bind that business. If a separate signed service agreement exists between you and Vimina, that agreement controls where it conflicts with these Terms.
2. What Vimina does
Vimina is a generative-engine-optimization provider for local service businesses, including restoration and auto-body companies. Our Services may include scanning how your business appears across AI answer engines, building or improving business profiles, web pages, structured data, and content, and periodically re-scanning and reporting on AI visibility over time.
Specific deliverables, fees, and timelines are set out in your order form or service agreement. Any sample report or introductory scan is provided for informational purposes only, on an as-is basis, with no guarantee of accuracy or completeness.
3. No guarantee of results
AI answer engines are operated by third parties, change frequently without notice, and are outside Vimina's control. Vimina does not and cannot guarantee any specific ranking, placement, citation, inclusion, traffic, lead volume, or revenue in any AI engine, search engine, or directory.
Examples, projections, sample reports, or illustrative figures shown on our website are for illustration only and are not a promise of results. Vimina's obligation is to perform the Services with reasonable skill and care, not to achieve a particular outcome.
4. Client responsibilities
You agree to provide accurate, complete, and lawful information; grant or facilitate the access we reasonably need; review and approve deliverables within a reasonable time; and comply with all applicable laws and third-party platform terms. Delays or inaccuracies on your side may affect timelines and results.
5. Reviews, reputation, and honest marketing
Vimina follows the FTC's rules on consumer reviews and endorsements. We do not buy, fabricate, gate, suppress, or incentivize reviews, and will not do so on your behalf. We may help you request reviews from real customers and respond to reviews in a compliant manner.
6. Fees, billing, and subscriptions
Services are typically provided for a one-time setup fee plus a recurring monthly retainer, as stated in your order form. Payments are processed by a third-party provider. Monthly fees recur automatically until cancelled in accordance with these Terms or your order form.
We may pause or suspend Services for failed or overdue payment. Fees are exclusive of taxes. Refunds, if any, are governed by the applicable order form or service agreement.
7. Term and termination
These Terms apply for as long as you use the Services. Either party may terminate a monthly engagement with 30 days' written notice unless your order form says otherwise. We may suspend or terminate immediately for non-payment, breach, or misuse.
On termination you remain responsible for fees accrued through the termination date. Sections that by their nature should survive, including ownership, disclaimers, limitation of liability, and indemnification, survive termination.
8. Third-party platforms
Our Services interact with third-party platforms such as Google, Bing, OpenAI, Gemini, Perplexity, Yelp, and others. We do not control these platforms, their availability, their policies, or how their AI systems generate answers, and we are not responsible for their changes, outages, or decisions.
9. Intellectual property
Our website, software, dashboard, scanning and measurement methods, prompt systems, analyses, templates, know-how, and aggregated or anonymized data are and remain the exclusive property of Vimina.
You retain ownership of your pre-existing brand assets and business information. On full payment, you receive a non-exclusive license to use the client-specific deliverables we create for you. Underlying tools and methods are licensed, not sold.
10. Confidentiality
Each party will protect the other's non-public information and use it only to perform or receive the Services. This does not apply to information that is public, independently developed, or required to be disclosed by law.
11. Data and privacy
Our handling of personal and business information is described in our Privacy Policy, incorporated into these Terms. You are responsible for ensuring you have the rights necessary to share any data or access you provide.
12. Disclaimer of warranties
The Services and website are provided as is and as available. To the fullest extent permitted by law, Vimina disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding results, accuracy, or uninterrupted availability.
13. Limitation of liability
To the fullest extent permitted by law, Vimina and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, leads, or data. Vimina's total aggregate liability will not exceed the amount you paid to Vimina in the three months preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold harmless Vimina and its owners, employees, and contractors from claims, damages, or expenses arising out of information or content you provide; your use of the Services or deliverables; your violation of these Terms, any law, or any third-party platform's terms; or any claim that your business or marketing claims are false, infringing, or unlawful.
15. Changes
We may update the Services or these Terms. Material changes will be posted on this page with an updated effective date. Continued use after changes take effect constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. The parties agree to the exclusive jurisdiction of the state and federal courts in Dallas County, Texas for any dispute.
17. Miscellaneous
These Terms, plus any order form and the Privacy Policy, are the entire agreement. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign in connection with a merger or sale.
